Engenerate Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Engenerate’s websites, applications, APIs, and related services (collectively, the “Services”), offered by Engenerate, Inc. (or other Engenerate contracting entity identified in an Order Form) (“Engenerate,” “we,” “us,” or “our”).
By clicking “I Agree,” creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. In that case, “you” and “Customer” refer to that organization.
1. Definitions
- 1.1 “Account” means your Engenerate account and any associated workspace(s).
- 1.2 “Administrator” means an authorized user with administrative permissions for a workspace.
- 1.3 “AI Models” means machine learning and AI models (including third-party models, where applicable) used to provide features of the Services.
- 1.4 “Content” means Input and Output.
- 1.5 “Input” means documents, files, images, data, prompts, and instructions you submit or make available to the Services for processing, including documents containing graphs, figures, charts, and tables.
- 1.6 “Output” means results produced by the Services based on Input, including extracted text, table structure, chart/graph series values, figure detections, annotations, coordinates, metadata, summaries, and exports (e.g., JSON, CSV).
- 1.7 “Order Form” means any ordering document, checkout flow, or subscription plan selection referencing these Terms.
- 1.8 “Third-Party Services” means third-party integrations, connectors, software, services, or model providers you enable or use with the Services.
- 1.9 “Usage Data” means service telemetry and operational data (e.g., feature usage, request timing, error logs, throughput, rate-limit events), and billing/administrative metadata. Usage Data does not include the substantive contents of Input or Output.
2. The Services
- 2.1 What Engenerate Does. Engenerate provides an AI document processing platform that helps users extract, structure, and transform information from documents—with specialized capabilities for graphs, figures, and tables.
- 2.2 Changes to Services. We may modify, update, or discontinue any part of the Services. We may also set or change usage limits and technical requirements.
- 2.3 Beta Features. Some features may be offered as alpha/beta/preview (“Beta Features”). Use is at your own risk.
3. Eligibility; Account Registration; Security
- 3.1 Eligibility. You must be at least 18 years old and able to form a binding contract.
- 3.2 Registration. You must provide accurate information when creating an Account.
- 3.3 Security. You are responsible for maintaining the confidentiality of your login credentials and API keys. You are responsible for all activity under your Account.
- 3.4 Administrators. Administrators may manage workspace settings and access. You are responsible for obtaining all required consents from your users.
4. Subscriptions, Fees, and Billing
- 4.1 Plans and Fees. Commercial terms are described on the applicable Order Form or checkout page.
- 4.2 Usage-Based Charges. If your plan includes usage-based pricing, you agree we may measure usage and bill accordingly.
- 4.3 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes.
- 4.4 No Refunds. Payments are non-refundable unless required by law.
5. Acceptable Use and Restrictions
- 5.1 Compliance. You agree to use the Services only in compliance with these Terms and applicable law.
- 5.2 Prohibited Acts. You may not:
- Use the Services for illegal, harmful, or fraudulent activities.
- Reverse engineer or attempt to discover source code or underlying AI Models.
- Use the Services or Output to develop or train competing products.
- Misrepresent Output as human-generated where doing so would be misleading.
6. Content, Ownership, and Licenses
- 6.1 Your Content. You are responsible for Content, including ensuring it does not violate law.
- 6.2 Ownership. You retain rights in Input. As between you and Engenerate, you own the Output generated for you.
- 6.3 License You Grant (No Training). You grant Engenerate a license to host and process your Content only as necessary to provide, maintain, and secure the Services.
- 6.4 No Training. Engenerate will not use your Content to train, fine-tune, or improve AI Models except with your explicit written agreement.
7. No Use of Customer Content for Training
- 7.1 No Training Commitment. Engenerate does not use Customer Content (Input or Output) to train our generalized AI Models.
- 7.2 Permitted Improvement Activities. We may use Usage Data (not the substance of Input/Output) to maintain and improve Service performance.
8. AI Disclosures and Output Limitations
- 8.1 Probabilistic Output. You understand AI may produce Output that is inaccurate or incomplete.
- 8.2 Special Risks. Extraction from graphs, figures, and tables can fail (e.g., misreading axis values or incorrect row alignment).
- 8.3 Review Requirement. You are solely responsible for evaluating Output accuracy before reliance.
9. Privacy, Security, and Data Sharing
- 9.1 Privacy Policy. Our data practices are described in our Privacy Policy.
- 9.2 No Sale of Data. We do not sell your Content.
- 9.3 Security. We maintain technical and organizational safeguards to protect Content.
10. Data Retention, Storage, and Deletion
- 10.1 Default Storage. The default retention mode is "stored" to enable document history and support.
- 10.2 Deletion. You may delete Content through the Services or request deletion via support.
- 10.3 Right to Erasure (Account Deletion). You may request permanent deletion of your account and all associated Content by emailing [email protected] from the email address on file. We will verify the request, cancel any active subscriptions, and purge your documents, embeddings, and stored files. We complete verified deletion requests within 45 days of receipt. Sole owners of a team workspace must transfer ownership before submitting a deletion request; billing can be cancelled at any time from the in-app Billing tab without deleting your account.
11. Sensitive Data and Regulated Data
- 11.1 Restricted Data. Unless explicitly agreed in writing, do not submit SSNs, payment card data, HIPAA-regulated data (PHI), or biometric identifiers.
12. Third-Party Services
- 12.1 Responsibility. Engenerate is not responsible for Third-Party Services. Their use is governed by their own terms.
13. Engenerate Intellectual Property; Feedback
- 13.1 Our IP. Engenerate and its licensors own all rights in the Services, software, and models.
- 13.2 Feedback. You grant Engenerate a perpetual license to use any feedback you provide.
14. Confidentiality (Mutual)
- 14.1 Protection. Each party will protect the other's Confidential Information with reasonable care. Your Content is considered your Confidential Information.
15. Suspension and Termination
- 15.1 Termination. You may stop using the Services at any time. We may suspend access if you breach these Terms or pose a security risk.
16. Disclaimers
THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ENGENERATE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
17. Limitation of Liability
ENGENERATE’S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100.
18. Indemnification
You will defend and indemnify Engenerate from third-party claims arising out of your Input, your violation of these Terms, or your use of the Services.
19. Copyright and DMCA

20. Dispute Resolution; Arbitration
Disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Davidson County, Tennessee. You waive the right to participate in class actions.
21. Governing Law
These Terms are governed by the laws of the State of Tennessee.
22. Export Controls
You agree to comply with all applicable export control and sanctions laws.
23. Changes to These Terms
We may update these Terms. Continued use after an update constitutes acceptance.
